This collective document serves as the Non-Disclosure Agreement (NDA), Service Agreement, and Memorandum of Understanding (MOU) between Study For Next and you.

By utilizing our services, you acknowledge and agree to be legally bound by these provisions.

🔐 1. Non-Disclosure (NDA)

1.1 Confidential Information

Includes technical data (source code, algos), business data (pricing, strategies), and personal PII data.

1.2 Permitted Use

Solely for performing services or evaluating partnerships. Any other use is prohibited.

1.3 Standard of Care

Use reasonable care to protect data.

✅ No Unauthorized Copying/Reverse Engineering.
✅ Limit access to essential personnel.

1.4 Exclusions

Already known prior to disclosure.
Publicly known through no fault of yours.
Independently developed.
Required by law/court order.

1.5 Term & Survival

Valid for 2 years after termination. IP ownership remains with originating party.

⚠️ 1.6 Breach & Remedies

Entitled to injunctive relief and damages. Governed by Indian IT Act 2000.

1.7 Jurisdiction

Laws of India. Exclusive jurisdiction: Lucknow, Uttar Pradesh.

📃 2. Service Agreement

2.1 Scope

Services defined in SOW/email. Executed on best-effort basis per milestones.

2.2 Client Obligations

Provide necessary access/info.
Provide feedback within 7 days.
Ensure legal compliance.

2.3 Fees

Per SOW. Work may suspend if payment delayed >15 days.

2.4 Liability

Provided "as is". No liability for indirect/consequential damages. Liability limited to amount paid.

2.5 Termination

30 days notice. Pay for work completed. Refunds only for uncommenced work.

🤝 3. MOU (Partnership)

Statement of intent for partnerships. Not legally binding (except NDA).

3.1 Shared Goals

Explore collaboration for mutual benefit in tech & education.

3.2 Non-Binding

Does not create legal obligations. Specifics require separate contract.

3.3 Confidentiality

All exchanges subject to Section 1 (NDA).
